1. Acceptance of Terms

By creating an account, accessing, or using the KEOHAMS e-commerce platform ("Platform"), you agree to comply with and be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our services.

2. Account Registration

2.1 Eligibility

You must be at least 18 years old and represent a legitimate business entity to register for an account. You warrant that all information provided during registration is accurate and complete.

2.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Enabling two-factor authentication when available

2.3 KYC Verification

You agree to complete our Know Your Customer (KYC) verification process by providing valid identification documents, business registration proof, and other required information. Failure to complete KYC may result in limited platform access.

3. Use of Platform

3.1 Permitted Use

You may use the Platform to:

• Browse and search for products
• Request quotations and place orders
• Communicate with our support team
• Participate in our affiliate program (if approved)

3.2 Prohibited Activities

You agree NOT to:

• Provide false or misleading information
• Use the Platform for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Scrape, copy, or download content without permission
• Interfere with the proper functioning of the Platform
• Resell or redistribute products without proper authorization
• Abuse quotation or order processes
• Harass or abuse our staff or other users

4. Orders and Quotations

4.1 Quotation Requests

Quotation requests are non-binding inquiries for pricing. We reserve the right to accept or decline any quotation request. Quoted prices are valid for 30 days unless otherwise stated.

4.2 Order Acceptance

An order is not confirmed until you receive an order confirmation email from us. We reserve the right to refuse or cancel any order for any reason, including product availability, pricing errors, or suspected fraudulent activity.

4.3 Minimum Order Quantities

Products have specified Minimum Order Quantities (MOQ). Orders below MOQ may be rejected or subject to additional fees.

4.4 Pricing

All prices are listed in USD unless otherwise specified. Prices are subject to change without notice. We reserve the right to correct pricing errors.

5. Payment Terms

Payment is due as specified in your order confirmation. We accept:

• Credit/debit cards
• Bank wire transfers
• PayPal and other approved payment methods

Late payments may result in order cancellation and account suspension. Payment terms may be negotiated for established business relationships.

6. Shipping and Delivery

Shipping costs and delivery times are provided at checkout. You are responsible for:

• Customs duties, taxes, and import fees
• Providing accurate shipping information
• Receiving deliveries or arranging alternative delivery

Risk of loss transfers to you upon delivery to the carrier. Delivery times are estimates and not guaranteed.

7. Returns and Refunds

Due to the bulk nature of our business, returns are generally not accepted unless the product is defective or significantly different from the description. Claims must be made within 7 days of delivery. Refund requests will be evaluated on a case-by-case basis.

8. Affiliate Program

If you participate in our affiliate program:

• You must comply with all applicable advertising and marketing laws
• Commissions are calculated based on completed, paid orders
• Commission rates may be adjusted with 30 days notice
• Minimum withdrawal amounts apply
• We reserve the right to terminate affiliate accounts for policy violations

9. Intellectual Property

All content on the Platform, including text, graphics, logos, images, and software, is the property of KEOHAMS or our licensors and is protected by copyright, trademark, and other intellectual property laws. You may not use, reproduce, or distribute our content without explicit written permission.

10. Limitation of Liability

To the maximum extent permitted by law, KEOHAMS shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability shall not exceed the amount paid by you for the specific product or service giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless KEOHAMS, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Platform, violation of these Terms, or infringement of any rights of another party.

12. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our sole discretion. You may close your account at any time by contacting us. Upon termination, your right to use the Platform ceases immediately.

13. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in New York, NY. You waive your right to participate in class action lawsuits.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Platform. Your continued use after changes constitutes acceptance of the modified Terms.
